Item 2.02. Results of Operations and Financial Condition.
On January 27, 2021, Amphenol Corporation (the “Company”) issued a press release setting forth the Company’s 2020 fourth quarter and full year earnings. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated by reference herein.
Item 8.01. Other Events.
On January 27, 2021, the Company announced the approval of a two-for-one stock split of the Company’s Class A Common Stock in the form of a 100% stock dividend to be distributed on March 4, 2021, to holders of record of the Company’s Class A Common stock at the close of business on February 16, 2021.
A copy of the press release announcing the approval of the stock dividend is attached hereto as Exhibit 99.1 and is incorporated by reference herein.
