Item 5.02.Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.
As of May 24, 2005, the Board of Directors of Orbital Sciences Corporation (the “Company”) elected James G. Roche to serve as a director of the Company, filling a newly-created vacancy in the class of directors whose term expires at the Company’s 2006 annual meeting of stockholders. The election of Dr. Roche increases the size of the Board from twelve to thirteen. Dr. Roche has not been appointed to any committee of the Board at this time; however, the Company expects that Dr. Roche will be appointed to one or more Board committees in the future. There are no arrangements or understandings between Dr. Roche and any other persons pursuant to which Dr. Roche was selected as a director of the Company.
