Item 8.01. Other Events.
As previously disclosed, in 2005, Orbital Sciences Corporation (the “Corporation”) became aware of a criminal investigation by the U.S. Department of Justice into suspected violations of government contracting laws and regulations in connection with certain U.S. government launch vehicle programs. The U.S. Attorney’s Office for the District of Arizona recently notified the Corporation that the criminal investigation has been terminated, with no criminal charges being filed against the Corporation.
The previously disclosed civil lawsuit that was filed under thequi tamprovisions of the civil False Claims Act captionedUnited States of Americaex rel.W. Austin Sallade v. Orbital Sciences Corporation remains pending. While the Civil Division of the Department of Justice has not intervened in such lawsuit, in the future it could seek to intervene with permission from the Court. Further information relating to the allegations and potential risks associated with this matter is disclosed under Part II, Item I, Legal Proceedings, of the Corporation’s Form 10-Q for the Quarter ended March 31, 2008, which disclosure, as updated pursuant hereto, is hereby incorporated by reference herein.
