Item 1.01. Entry into a Material Definitive Agreement
On December 9, 2019 and December 10, 2019, Par Pacific Holdings, Inc. (the “Company”) entered into privately negotiated exchange agreements (the “Exchange Agreements”) with a limited number of holders (the “Noteholders”) of its outstanding 5.00% Convertible Senior Notes due 2021 (the “Convertible Notes”), pursuant to which the Company agreed to exchange (the “Exchanges”) approximately $31.2 million in aggregate principal amount of the Convertible Notes held by the Noteholders for an aggregate of approximately $2.3 million in cash and 1,793,788 newly issued shares (the “Exchange Shares”) of the common stock of the Company, par value $.01 per share, pursuant to a private placement in reliance on Section 4(a)(2) of the Securities Act of 1933, as amended (the “Securities Act”).
The Company anticipates that the Exchanges will settle on or about December 13, 2019. Upon settlement of the Exchanges, the aggregate principal amount of the Convertible Notes outstanding is expected to be reduced to approximately $48.7 million.
