Item 8.01. Other Events
On December 9, 2021, in connection with its previously-announced share repurchase program, Par Pacific Holdings, Inc. (the “Company”) established a prearranged trading plan in accordance with Rule 10b5-1 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”) to repurchase up to $20 million worth of its common stock. The Rule 10b5-1 trading plan will permit Company common stock to be repurchased at times when the Company might otherwise be precluded from doing so under insider trading laws or self-imposed trading restrictions. The Rule 10b5-1 trading plan will be administered by an independent broker and will be subject to preset price, volume, and timing restrictions set forth in the plan.
Repurchases of shares under the Rule 10b5-1 plan are also intended to comply with the requirements of Rule 10b-18 under the Exchange Act. Since repurchases under the plan are subject to certain restrictions, there is no guarantee as to the number of shares, if any, that will be repurchased under the plan, and the Company may suspend or terminate the plan at any time. Any repurchases under the Rule 10b5-1 plan will be disclosed in the Company’s periodic reports under the Exchange Act.
