Explanatory Note
The purpose of this Form 8-K/A filing is to report that, on March 11, 2010, Columbia Laboratories, Inc. (the “Company”) issued a correction to its press release entitled, “Columbia Laboratories Reports Fourth Quarter and Year End 2009 Financial Results” (the “Press Release”), that was originally issued by the Company on March 11, 2010, announcing, among other things, its financial performance for the fourth quarter and year ended December 31, 2009. The purpose of the corrected press release (the “Corrected Press Release”) was to correct an error in the accumulated deficit set forth in the Stockholders’ Deficiency for December 31, 2009, of the Condensed Consolidated Balance Sheet attached to the Press Release, which should have stated $(256,979,263) and not th e originally reported $(56,979,263). Pursuant to Rule 412 of Regulation C under the Securities Act of 1933, as amended, the Company’s Current Report on Form 8-K, filed with the Securities and Exchange Commission on March 11, 2010 (File No. 001-10352), is hereby amended and superseded in its entirety by this Form 8-K/A.
Item 2.02 | Results of Operations and Financial Condition |
On March 11, 2010, the Company issued a press release entitled, “Columbia Laboratories Reports Fourth Quarter and Year End 2009 Financial Results” (the “Press Release”). Later on March 11, 2010, the Company issued a corrected press release (the “Corrected Press Release”). The purpose of the Corrected Press Release was to correct an error in the accumulated deficit set forth in the Stockholders’ Deficiency for December 31, 2009, of the Condensed Consolidated Balance Sheet attached to the Press Release, which should have been $(256,979,263) and not the originally reported $(56,979,263). The full text of the Corrected Press Release is attached as Exhibit 99.1 hereto and incorporated herein by reference.
