Explanation of Responses:

1. On September 30, 2019 the Company's Board of Directors appointed the Reporting Person as the Company's Chief Operating Officer. In conjunction with the appointment, on October 2, 2019 the Board of Directors granted 2,000,000 restricted shares of common stock to the Reporting Person. 1,250,000 of the restricted shares vested immediately and 750,000 shares will vest on October 2, 2020 contingent upon the Reporting Person remaining as the Company's Chief Operating Officer at that point in time.
