Item 7.01 Regulation FD Disclosure.
In January 2024, CHS Inc. (“CHS”) and Growmark, Inc. (“GROWMARK”) entered an exploratory process to identify opportunities for the two companies to further collaborate. That exploratory process has concluded, and it has been determined that no new opportunities will be pursued at this time. CHS and GROWMARK will continue to serve their respective owners by maintaining their current partnerships and continuing to function as two independent cooperatives.
Pursuant to General Instruction B.2. to Form 8–K, the information set forth in this Item 7.01 shall not be deemed to be “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended, or otherwise subject to the liabilities of that section.
