Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.
On September 1, 2005, Thomas W. Luce, III gave notice to the Company that he will resign as a director on September 2, 2005. Mr. Luce has been appointed by President George W. Bush to serve as Assistant Secretary of Education (Planning, Evaluation and Policy Development). In accordance with the Company’s Certificate of Incorporation and Bylaws, the Board of Directors has reduced the size of the board from ten to nine, to be effective as of Mr. Luce’s resignation.
