UniTek has experienced delays in completing the preparation of its financial statements, Management’s Discussion and Analysis of Financial Condition and Results of Operations and other components of its Annual Report on Form 10-K for the year ended December 31, 2012 due to its Audit Committee’s ongoing review of certain accounting issues regarding revenue recognition at its Pinnacle Wireless division.

| For the full year 2012 as compared to the full year 2011, the Company expects to report an increase in revenue from continuing operations of approximately 24-26%, and that loss from continuing operations will improve year-over-year. These year-over-year changes were primarily the result of growth in the Company’s wireless and cable fulfillment businesses. The Company is not in a position to provide any additional information regarding the results of operations for the year ended December 31, 2012, pending the completion of the Audit Committee’s ongoing review. |
