ITEM 1.01. ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT
2005 Stock Option Grants to Non-employee Directors
On October 17, 2005, each of the Company’s non-employee directors received an option to purchase 23,333 shares of the Company’s common stock at a price set at fair market value on the date of grant ($3.25 per share). The stock options were granted pursuant to the Company’s 1997 Stock Option Award Plan, as amended and restated on September 30, 2004. For each stock option grant, 5,000 shares vest at the end of each quarter(s) and the remaining 3,333 shares vest on the day prior to the Company’s 2006 annual shareholders’ meeting. The options expire five years from the grant date.
