EXPLANTORY NOTE
On August 29, 2008, we filed a Current Report on Form 8-K (the “Initial Form 8-K) to report, among other things, that QLT USA, Inc., our wholly-owned subsidiary, had entered into a license agreement (the “License Agreement”) with Reckitt Benckiser Pharmaceuticals Inc. This Amendment No. 1 is filed to amend Item 9.01 of the Initial Form 8-K to voluntarily include the License Agreement as an exhibit.
