1. Shares issued in settlement of restricted stock units granted in 2023 which vested upon the Issuer achieving a specified price per share over a designated period of time representing 200% of the Issuer's stock price on the grant date.

2. Shares issued in settlement of restricted stock units granted in 2023 which vested upon the Issuer achieving a specified price per share over a designated period of time representing 300% of the Issuer's stock price on the grant date.

3. Shares were applied to payment of withholding taxes in connection with the vesting and settlement of the above-mentioned restricted stock units.
