Explanation of Responses:

1. This total amount includes 321,199 RSUs vesting in twelve equal quarterly installments beginning on February 13, 2025 and continuing quarterly thereafter on May 13, 2025, August 13, 2025, December 3, 2025, February 13, 2026, May 13, 2026, August 13, 2026, December 3, 2026, February 12, 2027, May 13, 2027, August 13, 2027 and December 3, 2027, subject to the Reporting Person's continued service to the Company through each vesting date, and further includes 450,000 RSUs which vest on September 12, 2025.

2. Reflects shares sold to cover the Reporting Person's tax liability in connection with the vesting and settlement of the above-mentioned RSUs.

3. The Reporting Person is the sole shareholder of ZRB Holdings Inc.
