On August 9, 2019, CleanSpark, Inc., a Nevada corporation (the “Company”), filed a Certificate of Amendment to its Articles of Incorporation to increase its authorized shares of common stock from 100,000,000 to 200,000,000 (the “Charter Amendment”). The Charter Amendment was previously approved by written consent of the Company’s Board and more than a majority of the voting power of its stockholders.
