Explanation of Responses:

1. The reporting person owns a 1/3 membership interest in the limited liability company, Celtic, LLC, which directly owns the reported shares of Series A Preferred Stock. Celtic, LLC purchased an aggregate of 250,000 shares of Series A Preferred Stock of the Issuer, 1/3 of which are attributable to the reporting person. The reporting person disclaims beneficial ownership of these securities except to the extent of his pecuniary interest therein, and the inclusion of these shares in this report shall not be deemed an admission of beneficial ownership of all of the reported shares for purposes of Section 16 or for any other purpose.
