Explanation of Responses:

1. Represents the award of restricted stock units ("RSUs") that convert into common stock on a one-for-one basis. 25% of these RSUs vest annually over 4 years, commencing on April 15, 2021.

2. Represents the award of RSUs that convert into common stock on a one-for-one basis. 50% of these RSUs vests on April 15, 2024 and the remaining 50% vest on April 15, 2025.

3. These stock options become exercisable based on the following vesting schedule: 25% of these stock options vest annually over 4 years, commencing on April 15, 2021.
