1. The amount reported in Column 4 accounts for shares now held in account(s) over which Tocqueville Asset Management, L.P. (The "Reporting Person") no longer has beneficial ownership, including the account of Charles D. Morgan, a Director of the Issuer and formerly a related person of the Reporting Person, which now ends the Reporting Person's Director-by-Deputization status.

2. The reported shares are in accounts of clients of the Reported Person. The Reporting Person may be deemed to be the beneficial owner of the reported shares. The Reporting Person disclaims beneficial ownership of the reported shares except to the extend of his or its pecuniary interest therein, and his report shall not be deemed an admission that such Reporting Person is the beneficial owner of the securities for purposes of Section 16 of Securities Exchange Act of 1934, as amended, or for any other purpose.
