The Reporting Person may be deemed to be the beneficial owner of the reported shares. The Reporting Person disclaims beneficial ownership of the reported shares except to the extend of his or its pecuniary interest therein, and his report shall not be deemed an admission that such Reporting Person is the beneficial owner of the securities for purposes of Section 16 of Securities Exchange Act of 1934, as amended, or for any other purpose.

2. Charles D. Morgan, a related person of Tocqueville Asset Management, L.P., serves as a director of Inuvo, Inc.

3. On June 2 & June 3, 2016, 98,475 shares and 8,824 shares of Inuvo, Inc. were transferred into advisory accounts of Tocqueville Asset Management, LP.
