        In connection with the Quarterly Report on Form 10-Q of Citigroup Inc. (the "Company") for the quarterly period ended June 30, 2004, as filed with the Securities and Exchange Commission on the date hereof (the "Report"), Charles Prince, as Chief Executive Officer of the Company, and Todd S.
