2. These shares are beneficially owned by CHARTA, LLC (CHARTA), a partially supported multi-seller asset-backed commercial paper conduit sponsored by Citibank, N.A. (Citibank). Citicorp is the sole stockholder of Citibank. Citigroup Inc. is the sole stockholder of Citicorp.
