Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers
On August 2, 2010, Jade Y. Tsang, 45, was elected to serve as Treasurer and Chief Financial Officer of Providence and Worcester Railroad Company (the "Registrant") on an interim basis, effective immediately. Prior to assuming these responsibilities, Ms. Tsang served as Assistant Controller and Manager of Taxes of the Registrant since April 2010. From June 2008 until April 2010, Ms. Tsang served as a senior accountant for Upromise Investment Inc., and in various capacities with BNSF Railway Company from 1999 until June 2008.
