TRANSITION SERVICES AND SEPARATION AGREEMENT
FOR AND IN CONSIDERATION of the mutual promises, covenants, and agreements made by and betweenKevin G. Hostetler (“Executive”, a term which includes himself and all assigns, heirs, and successors in interest) and IDEX Services Corporation (“Company”, a term that includes IDEX Services Corporation, its parent, IDEX Corporation (“IDEX”), and their subsidiaries, or affiliated companies, as well as the officers, directors, shareholders, employees, agents, attorneys and contractors of each), Executive and Company hereby enter into this Transition Services and Separation Agreement (the “Agreement”) to be effective on the later of the date this Agreement is executed by Executive or the date this Agreement is executed by Company (the “Effective Date”):
1.TRANSITION SERVICES. 3.CONSIDERATIONTO EXECUTIVE. INCONSIDERATIONFORTHEPROMISESOF EXECUTIVESETFORTHHEREINANDPROVIDEDTHATTHE EXECUTIVEDOESNOTBREACHTHIS AGREEMENT,THE COMPANYAGREESTO:
| (a) | CONTINUETHE EXECUTIVEONTHE COMPANY’SPAYROLLDURINGTHE PERIODOF EMPLOYMENTATABIWEEKLYPAYRATEOF FIFTEEN THOUSAND NINE HUNDRED SIXTY-ONE DOLLARSAND 54/100 ($15,961.54). PAYMENTSWILLBEREDUCEDBYALLSTATUTORILYREQUIREDDEDUCTIONSANDANY EXECUTIVEAUTHORIZEDDEDUCTIONS. THESEPAYMENTSWILLBEMADETOTHE EXECUTIVEONTHE COMPANY’SREGULARSCHEDULEDPAYDATES. DURINGTHE PERIODOF EMPLOYMENT,THE EXECUTIVEWILLCONTINUETOBEELIGIBLETOPARTICIPATEINTHEBENEFITSPROVIDEDTHROUGHTHE IDEX CORPORATION CHOICECOMP PLANANDTHE IDEX CORPORATION SAVINGS PLANANDWILLRECEIVE EXECUTIVE’SAUTOMOBILEALLOWANCE (BUTNOTREIMBURSEMENTFORAUTOMOBILEEXPENSESOTHERTHANEXPENSESINCURREDINHISPERFORMANCEOFBUSINESSDUTIESUNDERTHISAGREEMENTANDINACCORDANCEWITHTHE COMPANY’SEXPENSEREIMBURSEMENTPOLICIES). THE EXECUTIVEWILLBEREQUIREDTOPAYALLREQUIREDPAYROLLDEDUCTIONSFORBENEFITS. EXECUTIVEWILLBEENTITLEDTORECEIVEPAYMENTOFANY ANNUAL MICP BONUSUNDERTHETERMSOFTHE MANAGEMENT INCENTIVE COMPENSATION PLAN (“MICP”)FORTHESERVICEPERIODOFCALENDARYEAR 2011,WHICHPAYMENTSHALLBE $442,649. THISANNUAL MICPBONUSWILLBEPAIDATTHETIMESPECIFIEDPURSUANTTOTHETERMSOFTHE MICPIN 2012BUTNOTLATERTHANBY MARCH 15, 2012. THE EXECUTIVEWILLNOTBEELIGIBLEFORANY MICPAWARDSFORTHECALENDARYEAR 2012. |

THIS AGREEMENTSHALLNOTCOMPROMISEANYRIGHT EXECUTIVEMAYHAVETOGROUPHEALTHCONTINUATIONCOVERAGEUNDER SECTIONS 601ETSEQ.OF ERISA (“COBRA”). WITHRESPECTTO COMPANY’SGROUPMEDICALPLANS,THE TERMINATION DATEWILLBETHEDATEOF EXECUTIVE’S “QUALIFYINGEVENT”FORPURPOSESOF EXECUTIVE’SCONTINUATIONCOVERAGERIGHTSUNDER COBRA. |
| (g) | THE EXECUTIVEWILLRECEIVEOUTPLACEMENTSERVICESFROM SHIELDS MELENEY PARTNERSFORWHICHTHE COMPANYWILLREIMBURSEHIMUPTO $75,000INTHEAGGREGATE. |
| (h) | EXECUTIVEAGREESTOUSEALLACCRUEDVACATIONSDAYSBETWEENTHE EFFECTIVE DATEANDTHE TERMINATION DATE,SUCHTHATONTHE TERMINATION DATE EXECUTIVESHALLHAVENOFURTHERRIGHTTOANYACCRUEDBUTUNUSEDVACATION. |
In the event of Executive’s death, the unpaid balance of the monies due to Executive under the Agreement shall continue to be paid to Executive’s estate.
During the Period of Employment and for 90 days thereafter, the Executive shall be subject to all “closed trading windows” as directed via email or regular mail by the General Counsel of IDEX Corporation for the exercise of any and all options, and the sale of any and all shares of IDEX Corporation stock.
After signing this Agreement, Executive shall not be eligible for any other payments, benefits and privileges related to employment or other consideration other than as expressly provided in this Agreement or in any other compensation or benefit arrangement under with Executive has any vested or contractual rights, or as may be provided under applicable law.
4.OTHER BENEFITS. NOTHINGINTHIS AGREEMENTSHALL:
| (a) | ALTERORREDUCEANYVESTED,ACCRUEDPENSIONBENEFITS (IFANY)TOWHICH EXECUTIVEMAYBEENTITLEDUNDERTHE IDEX CORPORATION RETIREMENT PLAN,THE IDEX CORPORATION DEFINED CONTRIBUTION PLAN,THE IDEX CORPORATION SAVINGS PLAN (401(K)) PLANORUNDERTHE IDEX CORPORATION SUPPLEMENTAL EXECUTIVE RETIREMENTAND DEFERRED COMPENSATION PLAN;OR; |
| (b) | AFFECT EXECUTIVE’SRIGHTTOELECTANDPAYFORCONTINUATIONOFGROUPMEDICALPLANCOVERAGEUNDERTHE COMPANY’SGROUPMEDICALPLANSPURSUANTTO COBRA. |
Executive’s benefits under the plans identified in Section 4(a) shall be paid to him pursuant to the terms of the plan documents.
5.NON-SOLICITATIONOF COMPANY EMPLOYEES. EXECUTIVEAGREESTHAT COMPANYHASINVESTEDSUBSTANTIALTIMEANDEFFORTINASSEMBLINGANDTRAININGITSPRESENTSTAFFOFPERSONNEL. ACCORDINGLY, EXECUTIVEAGREESTHATDURINGTHE PERIODOF EMPLOYMENTANDFORAPERIODOFONE (1) YEARFOLLOWINGTHE TERMINATION DATE, EXECUTIVEWILLNOTDIRECTLYORINDIRECTLYINDUCEORSOLICITORSEEKTOINDUCEORSOLICITORASSISTININDUCINGORSOLICITINGONBEHALFOF EXECUTIVEOROTHERS,ANYOFTHE COMPANY’SEMPLOYEES. NOTWITHSTANDINGTHEFOREGOING, EXECUTIVESHALLNOTBEDEEMEDTOHAVEVIOLATEDTHISPROVISIONMERELYBECAUSEA COMPANYEMPLOYEEISHIREDBYANYENTITYTHATEMPLOYS EXECUTIVEPROVIDEDTHAT EXECUTIVEHASNOTSOLICITEDTHATEMPLOYEEOROTHERWISEBEENINVOLVEDINHIS/HERHIRING.
6.NON-SOLICITATIONOF CUSTOMERS. EXECUTIVEAGREESTHATTHE COMPANY’SRELATIONSHIPSWITHITS CUSTOMERSARESOLELYTHEASSETSANDPROPERTYOFTHE COMPANY. EXECUTIVEAGREESTHATDURINGTHE PERIODOF EMPLOYMENTANDFORAPERIODOFONE (1) YEARFOLLOWINGTHE TERMINATION DATE, EXECUTIVESHALLNOTDIRECTLYORTHROUGHOTHERSSOLICITORATTEMPTTOSOLICITANYOFTHE COMPANY’S CUSTOMERSFORTHEPURPOSEOFPROVIDINGPRODUCTSORSERVICESCOMPETITIVETOTHOSEOFFEREDBYTHE COMPANY. THISSOLICITATIONRESTRICTIONAPPLIESONLYTOTHOSE CUSTOMERSWITHWHOM EXECUTIVEHADMATERIALCONTACTONBEHALFOFTHE COMPANY. “MATERIALCONTACT”MEANS: (I) DIRECTPERSONALCONTACTWITHA CUSTOMERFORTHEPURPOSEOF,RESPECTIVELY,PURCHASINGMATERIALSORSERVICESFORUSEBYTHE COMPANYORSELLINGTHE COMPANY’SPRODUCTSORSERVICESTO CUSTOMERSOR (II) ANYDIRECTSUPERVISIONOFDIRECTPERSONALCONTACTSOTHEREMPLOYEESOFTHE COMPANYMAYHAVEWITH CUSTOMERS. CUSTOMERSARETHOSE CUSTOMERSANDPROSPECTIVE CUSTOMERSWITHWHOM EXECUTIVEHADMATERIALCONTACTWITHINONE (1) YEARPRIORTOTHETERMINATIONOF EXECUTIVE’SEMPLOYMENTWITHTHE COMPANY.
7.NON-COMPETITION. INCONSIDERATIONOFTHECOMPENSATIONANDOTHERBENEFITSTOBEPAIDTOTHE EXECUTIVEUNDERANDINCONNECTIONWITHTHIS AGREEMENT,INCLUDINGSPECIFICALLYTHE ENHANCED SEVERANCE,THE EXECUTIVEAGREESTHAT,BEGINNINGONTHE EFFECTIVE DATEANDCONTINUINGFORAPERIODOFONE (1) YEARFOLLOWINGTHE TERMINATION DATE,HEWILLNOTPERFORMSERVICESASANAGENT,EMPLOYEE,OFFICER,ORDIRECTOROF,ORCONSULTANTTO, DOVER CORPORATION’S PUMP SOLUTIONS GROUP, XYLEM (INTHEFORMER ITTWATERUNIT),ANDTHE UTCWATERBUSINESS-NEPTUNEAND MILTON ROY;PROVIDEDTHAT EXECUTIVEMAYSERVEASANAGENT,EMPLOYEE,OFFICER,ORDIRECTOROF,ORCONSULTANTTO DOVER, XYLEMOR UTCIFHISROLEDOESNOTINVOLVEINANYRESPECTTHEIDENTIFIEDBUSINESSUNITS.
8.TRADE SECRETAND CONFIDENTIAL INFORMATION. EXECUTIVEACKNOWLEDGESTHATINTHECOURSEOFEMPLOYMENT, EXECUTIVEHADACCESSTOANDOBTAINEDKNOWLEDGEOFTRADESECRETSAND/ORCONFIDENTIALINFORMATIONRELATINGTOTHE COMPANY’SBUSINESS. EXECUTIVERECOGNIZESANDACKNOWLEDGESTHATTHE COMPANY’S TRADE SECRETAND CONFIDENTIAL INFORMATIONCONSTITUTESVALUABLE,SPECIALANDUNIQUEASSETSOFTHE COMPANYANDUSEORDISCLOSURETHEREOFCONTRARYTOTHETERMSOFTHIS AGREEMENTWOULDCAUSESUBSTANTIALLOSSOFCOMPETITIVEADVANTAGEANDOTHERSERIOUSINJURYTOTHE COMPANY.
| (a) | “TRADE SECRETS” MEANS ALL INFORMATION FROM WHICH THE COMPANY, OR ANY PERSON OR COMPANY THAT DOES BUSINESS WITH THE COMPANY, DERIVES ACTUAL OR POTENTIAL ECONOMIC VALUE FROM ITS NOT BEING KNOWN BY THOSE WHO CAN OBTAIN ECONOMIC VALUE FROM ITS DISCLOSURE OR USE AND IT NOT BEING READILY ASCERTAINABLE BY PROPER MEANS. TRADE SECRETS MEANS ANY ITEM OF CONFIDENTIAL INFORMATION THAT CONSTITUTES A “TRADE SECRET” UNDER APPLICABLE COMMON LAW OR STATUTORY LAW. |

| INFORMATIONCONCERNINGPERSONNELASSIGNMENTSANDPERSONNELMATTERS,TRAININGMANUALS,ANDANYOTHERINFORMATIONRELATINGTOTHE COMPANY’SBUSINESSTHATISTREATEDBYTHE COMPANYASCONFIDENTIALORISLABELEDAS “CONFIDENTIAL”ORTOSIMILAREFFECT. CONFIDENTIALINFORMATIONALSOINCLUDESANYINFORMATIONDESCRIBEDASPROPRIETARYORDESIGNATEDASCONFIDENTIALINFORMATION,WHETHERORNOTOWNEDBYTHE COMPANY. |
Executive agrees that during employment with the Company and for all periods following the termination of employment, Executive shall not, other than on behalf of the Company, divulge or make use of any confidential information of the Company directly, indirectly, personally, or on behalf of any other person, business, corporation or entity, and further shall diligently protect any and all Confidential Information against loss by inadvertent or unauthorized disclosure, use or misappropriation during this period. This covenant is not intended to and does not limit in any way Executive’s duties and obligations to the Company under statutory or case law not to disclose or make personal use of such information or any trade secret information of the Company.
9.EQUITABLE REMEDIES; AVAILABILITYOF OTHER REMEDIES; OBLIGATIONS ABSOLUTE.

| (b) | EXECUTIVEACKNOWLEDGESTHAT (I) THEPROVISIONSOF SECTIONS 5, 6, 7,AND 8AREREASONABLEANDNECESSARYTOPROTECTTHELEGITIMATEINTERESTSOF IDEXANDITS AFFILIATES,AND (II) ANYVIOLATIONOF SECTIONS 5, 6, 7,OR 8WILLRESULTINIRREPARABLEINJURYTO IDEX,THEEXACTAMOUNTOFWHICHWILLBEDIFFICULTTOASCERTAIN,ANDTHATTHEREMEDIESATLAWFORANYSUCHVIOLATIONWOULDNOTBEREASONABLEORADEQUATECOMPENSATIONTO IDEXANDITS AFFILIATESFORSUCHAVIOLATION. ACCORDINGLY, EXECUTIVEAGREESTHATIF EXECUTIVEVIOLATESTHEPROVISIONSOF SECTIONS 5, 6,OR 8INADDITIONTOANYOTHERREMEDYWHICHMAYBEAVAILABLEATLAWORINEQUITY, IDEXANDITS AFFILIATESSHALLBEENTITLEDTOSPECIFICPERFORMANCEANDINJUNCTIVERELIEF,WITHOUTPOSTINGBONDOROTHERSECURITY,ANDWITHOUTTHENECESSITYOFPROVINGACTUALDAMAGES. 18. NO RELIANCE UPON OTHER STATEMENTS. THIS AGREEMENTISENTEREDINTOWITHOUTRELIANCEUPONANYSTATEMENTORREPRESENTATIONOFANYPARTYHERETOORPARTIESHEREBYRELEASEDOTHERTHANTHESTATEMENTSANDREPRESENTATIONSCONTAINEDINWRITINGINTHIS AGREEMENT.
19.ENTIRE AGREEMENT. THIS AGREEMENTSETSFORTHTHEENTIREAGREEMENTANDUNDERSTANDINGOFTHEPARTIESANDSUPERSEDESANYANDALLPRIORAGREEMENTSORUNDERSTANDINGSWITHREGARDTOTHEMATTERSCOVEREDHEREIN,ANDSHALLBEBINDINGUPONANDSERVETOTHEBENEFITOFANDBEENFORCEABLEBYTHE COMPANYANDITSSUCCESSORSANDASSIGNS;PROVIDED,HOWEVER,THATNOTHINGINTHIS AGREEMENTSUPERSEDESANYEXISTINGAGREEMENTSONTHEPARTOF EMPLOYEERELATEDTO CONFIDENTIALITY, NON-SOLICITATION, NON-COMPETITION, ASSIGNMENTOF INVENTIONS, WORK PRODUCT,AND/ORLIMITATIONSONTHEUSEOF INTELLECTUAL PROPERTY,PROVIDEDTHATANYINCONSISTENCYBETWEENANYSUCHPREEXISTINGAGREEMENTAND SECTIONS 5THROUGH 9OFTHIS AGREEMENTSHALLBERESOLVEDBYENFORCINGTHEAPPLICABLEPROVISIONOFTHIS AGREEMENT.
20.NO WAIVER. ANYFAILUREBYANYPARTYTOENFORCEANYOFTHEIRRIGHTSANDPRIVILEGESUNDERTHIS AGREEMENTSHALLNOTBEDEEMEDTOCONSTITUTEWAIVEROFANYRIGHTSANDPRIVILEGESCONTAINEDHEREIN.

RELEASE
In exchange for the payments of Base Severance, Enhanced Severance, and additional benefits that I will receive (less applicable deductions and withholdings) under a Transition Services and Separation Agreement between myself and IDEX Services Corporation (the “Company”) (a subsidiary of IDEX Corporation, a Delaware corporation with its headquarters at 1925 West Field Court, Suite 200, Lake Forest, Illinois 60045 (“IDEX”)), dated February 14, 2012 (the “Separation Agreement”), I,Kevin G. Hostetler, for myself and for my heirs, executors, successors and assigns (collectively, the “Releasors”) hereby release, waive, and forever discharge the Company, IDEX, their agents, subsidiaries, affiliates, employees, officers, shareholders, attorneys, successors, and assigns (collectively the “Company Releasees”) from any and all claims of any kind whatsoever, whether known or unknown at this time, arising out of or connected with, my employment with the Company and IDEX and the termination of my employment, including, but not limited to, all matters in law, in equity, in contract (oral or written, express or implied) or in tort, or pursuant to statute, from the beginning of time through the date of this Agreement. It is the understanding and agreement of the parties that the release provided for by this paragraph shall be a general release in all respects. Release of Any Age Discrimination Claims. Revocation of Age Release. I acknowledge that I am aware that I may revoke the portion of this Release relating to release of age discrimination claims covered by the ADEA or OWBPA within seven (7) calendar days after signing it. To be effective, such revocation must be received in writing by Frank Notaro, Vice President, General Counsel and Secretary, IDEX Corporation, 1925 West Field Court, Lake Forest, Illinois 60045. Revocation can be made by hand delivery, telegram, facsimile, or postmarking before the expiration date of this seven (7) day period.
Promise Not to Sue or Accept Recovery. I promise not to sue the Company Releasees or any party released herein on account of any claim released in this Release. Other than unemployment benefits, I further promise not to accept, recover or receive any monetary damages or any other form of relief which may arise out of or in connection with any administrative remedies which may be filed with or pursued independently by any governmental agency or agencies, whether federal, state or local, and not to voluntarily assist any individual or entity in connection with any administrative charges, investigations, actions, lawsuits or remedies which may be filed against the Company Releasees. I hereby waive the right to seek information or conduct discovery in any future disputes regarding the settlement and past conduct.
As of the date I have signed this Release, I have not filed any charge, complaint, or lawsuit over any claim(s) referred to in this Release. While I understand that the law permits, and that I am not foreclosed from filing an agency charge, should any such charge or action be filed by me or on my behalf involving matters covered by this Release, I agree to promptly give the agency or court having jurisdiction a copy of this Release and inform it that any individual claims I might otherwise have had have been settled. I agrees not to file any other lawsuit at any time over any claims released in this Release, provided, however, that this Release does not prevent me from filing a lawsuit challenging whether this Release is itself legal under the requirements of the ADEA and the OWBPA. Should I file such a suit and lose, I understand that I will be personally liable for any of my own legal fees and costs.

MISCELLANEOUS.
This Release shall be construed, interpreted and applied in accordance with the internal laws of the State of Illinois without regard to the principle of conflicts of laws.
Any term or provision of this Release that is invalid or unenforceable in any situation in any jurisdiction shall not affect the validity or enforceability of the remaining terms and provisions hereof or the validity or enforceability of the offending term or provision in any other situation or in any other jurisdiction. If the final judgment of a court of competent jurisdiction declares that any term or provision hereof is invalid or unenforceable, I agree that the court making such determination shall have the power to limit the term or provision, to delete specific words or phrases, or to replace any invalid or unenforceable term or provision with a term or provision that is valid and enforceable and that comes closest to expressing the intention of the invalid or unenforceable term or provision, and this Release shall be enforceable as so modified. In the event such court does not exercise the power granted to it in the prior sentence, I agree to replace such invalid or unenforceable term or provision with a valid and enforceable term or provision that will achieve, to the extent possible, the economic, business and other purposes of such invalid or unenforceable term.
This Release inures to the benefit of the Company, IDEX Corporation, and its successors and assigns.
