Item 1.01 Entry into a Material Definitive Agreement.
On January 13, 2006, the Nominating and Corporate Governance Committee of Pride’s Board of Directors approved the fees to be paid to nonemployee directors for service on the board and its committees, effective January 1, 2006.
The annual retainer for the chairman of the board is $125,000. Each other nonemployee director receives an annual retainer of $40,000 and a fee of $2,000 for each board and committee meeting attended. In addition, the chairman of the Audit Committee receives an annual fee of $12,000; the chairman of the Compensation Committee receives an annual fee of $10,000; and the chairman of the Nominating and Corporate Governance Committee receives an annual fee of $10,000.
