Item 1.01 Entry Into a Material Definitive Agreement
On June 28, 2006, the Company’s wholly-owned subsidiary, Tyco International Group S.A., executed an amendment extending the maturity date of its $1.5 billion 3-year revolving bank credit facility from December 22, 2006 until December 21, 2007. The Company has not borrowed under this facility.
