Item 8.01 Regulation FD Disclosure
On April 27, 2007, Tyco International Ltd. announced that it and certain of its subsidiaries that are issuers of its corporate debt had commenced tender offers to purchase for cash substantially all of their outstanding public debt. In conjunction with the tender offers, the relevant issuers will also solicit consents for certain clarifying amendments to the indentures pursuant to which the debt was issued. A copy of the press release announcing the tender offers and consent solicitations is attached as Exhibit 99.1 to this report.
