Item 2.02. Results of Operations and Financial Condition.
On July 30, 2020, Power Integrations, Inc. (the “Company”) issued a press release announcing its financial results for the quarter ended June 30, 2020, a copy of which is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
Item 8.01. Other Events.
On July 29, 2020, the Board of Directors of the Company authorized a stock dividend of one share of common stock for each share of common stock outstanding on the record date. The record date for the stock dividend is August 14, 2020, and the payment date is August 18, 2020. In connection and effective upon the stock dividend, the Board of Directors also approved anti-dilutive adjustments to the shares reserved for issuance under the Company’s equity incentive plans, and made anti-dilutive and other equitable adjustments to the terms of outstanding options, performance stock unit awards and restricted stock unit awards.
