Item 7.01 Regulation FD Disclosure On July 11, 2005, Resource Capital Corp. ("RCC") issued a press release announcing that it had filed a registration statement with the Securities Exchange Commission for the initial public offering of $287.5 million of its common stock. RCC is externally managed by Resource Capital Manager, Inc., a wholly-owned subsidiary of Resource America, Inc. A copy of the press release is attached as an exhibit hereto.
