Item 8.01. Other Events.
Resource America, Inc. (the “Company”) expects to hold its 2014 Annual Meeting of Stockholders on June 5, 2014 (the “Annual Meeting”). Because the date of the Annual Meeting has been changed by more than 30 days from the anniversary of the Company’s 2013 annual meeting of stockholders, the deadline for the submission of proposals by stockholders for inclusion in the Company’s proxy materials relating to the Annual Meeting has changed. For business to be properly brought before the Annual Meeting by any stockholder, and for a nomination of directors to be made by a stockholder, notice must be received by the Company no later than March 10, 2014, which the Company believes is a reasonable time before it expects to begin to print and send its proxy materials. To be eligible for inclusion in the Company’s proxy materials, stockholder proposals must comply with the requirements of Rule 14a-8 and with the Company’s Amended and Restated Bylaws.
