Exhibits are filed herewith in connection with the Registration Statement on Form S-3 (File No. 333-113680), filed by Toyota Motor Credit Corporation (the “Company”) with the Securities and Exchange Commission covering debt securities issuable under an Indenture, dated as of August 1, 1991, between JPMorgan Chase Bank, N.A. (as successor to The Chase Manhattan Bank) (“Chase”) and the Company, as supplemented by a First Supplemental Indenture, dated as of October 1, 1991 and a Second Supplemental Indenture, dated as of March 31, 2004 (collectively, the “Indenture”), among the Company, Chase and Deutsche Bank Trust Company Americas (as successor to Bankers Trust Company), pursuant to which Chase will act as trustee. In connection therewith, the Company has entered into a Purchase Agreement, dated March 2, 2005 (the “Purchase Agreement”), between the Company and Citigroup Global Markets Inc., J.P. Morgan Securities Inc. and Morgan Stanley & Co. Incorporated, as representatives of the underwriters set forth therein, in connection with the sale by the Company and purchase by the Underwriters of $1,000,000,000 aggregate principal amount of 4.250% Notes due 2010 (the “Notes”). The exhibits consist of the Purchase Agreement and the form of Notes.
