Item 1.01Entry into a Material Definitive Agreement
Laxai Pharma, Ltd., (the “Registrant”), has entered into a Share Purchase Agreement (the “SPA”) and Unit Purchase Agreement (the “UPA”) with NexGen Biofuels, Inc a Delaware Company for OSR Solutions, Inc and OSR Enterprises, LLC respectively on December 1, 2010 in exchange for the assumption of total existing liabilities of both OSR Solutions, Inc and OSR Enterprises, LLC of $183,742 from Bank of America and PNC Bank. Currently OSR Solutions, Inc has no revenue and OSR Enterprises, LLC has one part time Employee with $50/hr and working only 8-16 hr s/week with a gross margin of $15/hr.
The SPA and UPA were approved by more than 75% of the share holders. Based on the majority of the shareholders’ voting, the board has approved the transaction in a meeting held on December 1, 2010.
