On January 24, 2012, we issued a press release, which announced that because the conditions under a Letter of Intent with Esio Franchising, LLC (announced on December 28, 2010) could not be met, all efforts to achieve the proposed “reverse merger” transaction have cease. A copy of the press release is attached thereto.
