Submission of Matters to a Vote of Security Holders.
On June 7, 2016, Uranium Resources, Inc. (the “Company”) held its Annual Meeting of Stockholders (the “Annual Meeting”). The total number of shares of the Company’s common stock voted in person or by proxy at the AnnualMeeting was 3,174,630, representing approximately 54.95% of the 5,777,295 shares issued and outstanding and entitled to vote at the Annual Meeting, which constituted a quorum. The number of votes cast for, against or withheld, as well as abstentions and broker non-votes, as applicable, with respect to each matter is set out below.
Proposal 1.
Approval of the Issuance of Shares of our Common Stock to Aspire Capital
The stockholders approved the issuance of shares of the Company’s common stock pursuant to the common stock purchase agreement between the Company and Aspire Capital dated April 8, 2016:
