Our audited financial statements for fiscal years 2012 through 2014 and our unaudited financial statements for the 39 weeks ended November 30, 2013 and November 29, 2014 are incorporated by reference in this offering memorandum. We derived the following pro forma summary combined financial data by combining the unaudited consolidated financial statements of Rite Aid as of and for the 52 weeks ended November 29, 2014 with the audited financial statements of EnvisionRx as of and for the fiscal year ended December 31, 2014 and certain pro forma adjustments for the transactions. Such a presentation is not prepared in accordance with Regulation S-X. In addition, incentive compensation is based on Adjusted EBITDA and we base certain of our forward-looking estimates on Adjusted EBITDA to facilitate quantification of planned business activities and enhance subsequent follow-up with comparisons of actual to planned Adjusted EBITDA. We include this non-GAAP financial measure in order to provide transparency to investors and enable investors to better compare our operating performance with the operating performance of our competitors.
