On, and effective as of, December 19, 2007, the Board of Directors of Rite Aid Corporation (the "Corporation") adopted an amendment to Sections 1, 3 and 4 of Article V of the Amended and Restated By-Laws of the Corporation (the "By-Laws") to clarify the Corporation's ability to issue uncertificated shares, pursuant to the New York Stock Exchange rules that require listed companies to become eligible to participate in the Direct Registration System (or “DRS”) by January 1, 2008.
A copy of the amendment to Sections 1, 3 and 4 of Article V of the By-Laws is attached as Exhibit 3.1 hereto.
