ITEM 1.01. ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT.
On September 14, 2005, our subsidiary, TOR Minerals (M) Sdn. Bhd. (TMM), amended its banking facility with HSBC Bank Malaysia Berhad. The amendment added a US Dollar term loan in the amount of $1,000,000 (RM 3,780,000) for the purpose of upgrading TMM's plant and machinery and increased the Bankers Acceptance from RM 500,000 ($132,275) to RM 3,780,000 ($1,000,000).
