Effective January 31, 2021, pursuant to an Agreement and Plan of Reorganization, dated as of August 12, 2020, as amended on November 6, 2020, between Bay Banks of Virginia, Inc. ("Bay Banks") and Blue Ridge Bankshares, Inc. ("Blue Ridge"), Blue Ridge acquired Bay Banks and issued such number of shares of common stock resulting in the reporting person's beneficial ownership to be under 10% of the outstanding shares of Blue Ridge. Accordingly, the reporting person is no longer subject to Section 16 in connection with his transactions in the equity securities of Blue Ridge.
