Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year
Robbins & Myers, Inc., an Ohio corporation (the “Company”), filed with the Secretary of State of Ohio an amendment to its Articles of Incorporation on January 22, 2008 (the “Amendment”). The Amendment increases the number of authorized common shares, without par value, that the Company is authorized to issue from 40,000,000 to 80,000,000.
Under the General Corporation Law of Ohio, when the board of directors of an Ohio corporation declares a stock split of its common shares to be effected in the form of a share dividend, the board may adopt an amendment to the corporation’s articles of incorporation proportionately increasing the number of authorized common shares of the corporation. As previously reported, on January 8, 2008, the Board of Directors of the Company declared a 2-for-1 stock split of the Company’s common shares, to be effected in the form of a share dividend (the “Stock Split”). Shareholders will receive one additional share for each common share of the Company owned as of the close of business on the record date of February 4, 2008. The additional shares will be issued on February 28, 2008. As a result of the Stock Split, the Company’s Board was authorized to adopt the Amendment.
