State below in reasonable detail the reasons why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.
The compilation, dissemination, and review of the information required to be presented in the Form 10-K for the period ended December 31, 2015 and the finalization of the assessment of the effectiveness of internal control over financial reporting as of December 31, 2015 could not be completed by March 30, 2016, without unreasonable effort and expense to the registrant. Therefore, the registrant needs additional time to complete and file its Form 10-K. In accordance with Rule 12b-25 under the Securities Exchange Act of 1934, as amended, the registrant will file its Form 10-K no later than the fifteenth calendar day following the prescribed due date.

For the year ended December 31, 2015, the registrant expects net income to decrease to $13.7 million from $33.5 million for the year ended December 31, 2014. The decrease in net earnings during 2015 as compared to 2014 was primarily due to higher policy benefits expense and an increase in amortization of value of business acquired and deferred acquisition costs, partially offset by lower derivative losses.
