In connection with Harvest Natural Resources, Inc.’s, a Delaware corporation (the “Company”), offering of up to $32 million in aggregate principal amount of the Company’s 8.25% Senior Convertible Notes due 2013, as previously disclosed in the Company’s current report on Form 8-K filed on February 11, 2010, the Company is filing a legal opinion and consent of Skadden, Arps, Slate, Meagher & Flom LLP as Exhibit No. 5.1 and Exhibit No. 23.1, respectively, to this current report on Form 8-K.
