Explanation of Responses:

1. Mr. Atkinson is the sole manager, co-founder and owner of approximately 33.1% of the Membership interest of M2 Equity Partners LLC, a Minnesota limited liability company ("M2"), which is the record and beneficial owner of 12,100,000 shares of common stock of Dala Petroleum Corp. (the "Company") or approximately 44.5% of its outstanding voting securities, consisting of common voting stock. Based upon the percentage of ownership of the Membership interest in M2 by the reporting person and the number of shares owned by M2 in the Company, the reporting person is the indirect beneficial owner of approximately 4,000,000 shares of common voting stock of the Company or approximately 14.7% thereof.

2. Mr. Atkinson and the other co-founder of M2, Mark Savage, jointly own a majority voting interest or approximately 66.2% of the voting of the Membership interest in M2, which voting interest is sufficient to control the election of the Manager and all matters believed to be material to the ownership of these shares by M2, except the voluntary dissolution of M2 and the distribution of these shares to M2 members, which would require the affirmative vote of all members.

3. These shares are subject to a Shareholder Voting Agreement, see Exhibit 9 to the Amended Current Report on Form 8-K/A dated November 15, 2017, and filed with the Securities and Exchange Commission on December 20, 2017.
