1. Mr. Pearl previously reported his ownership of 100,000 options convertible into Common Stock on his Form 3 filed January 22, 2019. They expire at the earliest of October 22, 2023 or one year from his termination or resignation as a member of the Board of Directors, and are convertible at $0.495 per share.
