Item 7.01. Regulation FD Disclosure.
On November 18, 2020, the Federal Agricultural Mortgage Corporation (“Farmer Mac”) announced that W. David Hemingway, a member of Farmer Mac’s Board of Directors (“Board”), died unexpectedly on November 15, 2020 at the age of 73. Mr. Hemingway joined Farmer Mac’s Board in May 2020 as a member elected by the holders of Farmer Mac’s Class A voting common stock. At the time of Mr. Hemingway's death, he had been serving as a member of three Committees of the Board - Audit, Enterprise Risk, and Financial Risk. Farmer Mac's announcement on its public website (www.farmermac.com) includes a tribute to Mr. Hemingway. All references to www.farmermac.com in this report are inactive textual references only, and the information contained on Farmer Mac’s website is not incorporated by reference in this report.
Farmer Mac’s statutory charter authorizes the Board to fill the vacancy for the unexpired portion of Mr. Hemingway’s term that ends in May 2021. The 14 remaining members of the Board plan to meet in the near future to discuss the timing and process for filling the vacancy.
