On July 12, 2017, the Registrant’s wholly-owned subsidiary, The Bridgehampton National Bank (the “Bank”), filed an application with the New York State Department of Financial Services to convertthe Bank from a national bank to a New York chartered commercial bank. Anotice of the charter conversion has been filed with the Bank’s current primary federal regulator, the Office of the Comptroller of the Currency.The Bank also intends to file an application with the Federal Reserve Bank of New York to remain a member bank of the Federal Reserve System following the charter conversion.
