Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On February 17, 2021, Michael M. Ludwig, Senior Vice President, Chief Financial Officer and Treasurer of Rogers Corporation (the “Company”), informed the Company that he intends to retire. On February 18, 2021, the Company announced Mr. Ludwig’s intent to retire from the Company in 2021. Mr. Ludwig has not given notice of a specific retirement date. He intends to remain in his current role until a successor is appointed. The process to identify a successor will begin immediately. Mr. Ludwig’s announced intention is not the result of any disagreement with the Company with respect to any matter relating to the Company’s operations, policies or practices, including its accounting procedures.
Item 7.01 Regulation FD Disclosure.
On February 18, 2021 the Company issued a press release announcing the planned retirement of Mr. Ludwig. A copy of the press release is furnished herewith as Exhibit 99.1 and is incorporated by reference into this Item 7.01.
