Ladies and Gentlemen:
As counsel to Symantec Corporation, a Delaware corporation (the “Company”), we have examined the Registration Statement on Form S-8 to be filed by the Company with the Securities and Exchange Commission (the “Commission”) on or about February 17, 2017 (the “Registration Statement”) in connection with the registration under the Securities Act of 1933, as amended (the “Securities Act”), of (1) an aggregate of 17,000,000 shares (the “EIP Shares”) of the Company’s Common Stock, $0.01 par value per share (the “Common Stock”), subject to issuance by the Company pursuant to its 2013 Equity Incentive Plan, as amended (the “Plan”) and (2) an aggregate of 7,188,468 shares (the “LifeLock Shares” and together with the EIP Shares, the “Shares”) of Common Stock, subject to issuance by the Company upon the exercise of stock options and the settlement of restricted stock units granted under the LifeLock, Inc. 2012 Incentive Compensation Plan (the “Target Plan”) and assumed by the Company in accordance with the terms of an Agreement and Plan of Merger, dated November 20, 2016 (as amended by the Amendment, the “Merger Agreement”), as amended by Amendment No. 1 to Agreement and Plan of Merger, dated as of January 16, 2017 (the “Amendment”), by and among the Company, L1116 Merger Sub, Inc., a Delaware corporation and wholly owned subsidiary of the Company, and LifeLock, Inc., a Delaware corporation (“Target”). At your request we are providing this letter, to express our opinion on the matters set forth below in this letter (“our opinion”).
In connection with our opinion expressed we have examined originals or copies of the Company’s current certificate of incorporation and bylaws, the Target Plan, the Merger Agreement, certain corporate proceedings of the Company’s board of directors and stockholders relating to the Registration Statement, the prospectuses prepared in connection with the Registration Statement, the Plan and related forms, the Merger Agreement, the Target Plan, the Company’s current certificate of incorporation and bylaws and such other agreements, documents, certificates and statements of the Company, its transfer agent and public or governmental officials, as we have deemed advisable, and have examined such questions of law as we have considered necessary. We have assumed the authenticity of all documents submitted to us as originals, the genuineness of all signatures on documents submitted to us, the conformity to originals of all documents submitted to us as copies, and the absence of any undisclosed termination, waiver or amendment to any document reviewed by us. In giving our opinion, we have also relied upon a good standing certificate regarding the Company issued by the Delaware

Secretary of State and representations made to us by the Company, including representations that the Company has available a sufficient number of authorized shares of Common Stock that are not currently outstanding or reserved for issuance under other outstanding securities or plans of the Company, to enable the Company to issue and deliver all of the Shares as of the date of this letter.
We render this opinion only with respect to, and we express no opinion herein concerning the application or effect of the laws of any jurisdiction other than the existing Delaware General Corporation Law (“DGCL”).
Based upon, and subject to, the foregoing, it is our opinion that:
| (1) | the 17,000,000 shares of Common Stock that may be issued and sold by the Company under the Plan upon (i) the exercise of stock options to be granted by the Company under the Plan, (ii) the granting by the Company of restricted stock or restricted stock units under the Plan, or (iii) the vesting of stock appreciation rights to be granted by the Company under the Plan, when issued, sold and delivered in accordance with the terms of the Plan and forms of award agreements thereunder, if any, to be entered into thereunder and in the manner and for the consideration stated in the Registration Statement, the Prospectus associated with the Plan, the Plan and applicable forms of award agreements, will be validly issued, fully paid and non-assessable; and |
| (2) | when the 7,188,468 shares of Common Stock that may be issued and sold by the Compay upon the exercise of stock options and the settlement of restricted stock units granted under the Target Plan and assumed by the Company in accordance with the terms of the Merger Agreement have been issued and sold by the Company against the Company’s receipt of payment therefor (in an amount and type of consideration not less than the par value per share) in accordance with the terms (including payment provisions) of the Target Plan and have been duly registered on the books of the transfer agent and registrar for the Shares in the name or on behalf of the holders thereof, such Shares will be validly issued, fully paid and non-assessable. |
