Item 1.01 Entry into a Material Definitive Agreement. On November 14, 2005, the Compensation Committee of American Italian Pasta Company (the "Company") approved a retention bonus for the Chief Financial Officer. Under the terms of the retention bonus, George Shadid, Chief Financial Officer, would receive a bonus of up to $290,000. Of this amount, $145,000 would be payable upon completion of the ongoing Audit Committee investigation, and the remaining $145,000 would be payable in June 2006, in each case if Mr. Shadid remains an active employee at the time of payment.
