Item 8.01.Other Events.
On February 24, 2005, Cytyc Corporation issued a press release to announce that it had received early termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976 in connection with Cytyc’s acquisition of Proxima Therapeutics, Inc., a privately-held company that develops and markets delivery systems for the treatment of cancer. Early termination of the Hart-Scott-Rodino waiting period satisfies one of the conditions necessary to complete the pending acquisition. Additional information relating to this matter is contained in the press release, a copy of which is filed as Exhibit 99.1 to this form 8-K and incorporated herein by reference.
