Cytyc Reaffirms Intention to Complete All Cash Tender Offer for
Vision Systems Limited
Notes That New Ventana Litigation Against Vision Systems Does Not Impede Intention
To Complete Offer
Remains Confident That Tender Offer Has No Risk Of Antitrust Issues
MARLBOROUGH, Mass., Sept. 22, 2006 — Cytyc Corporation (Nasdaq: CYTC) today issued the following statement regarding its A$2.35 all cash tender offer for Vision Systems Limited (ASX: VSL):
“We have carefully examined the patent litigation filed on September 18, 2006 by Ventana Medical Systems, Inc. (Nasdaq: VMSI) against a subsidiary of Vision Systems. This litigation involves U.S. Patent No. 6,594,537. We are completely satisfied that this new litigation will not stand in the way of our intention to complete this tender offer — and to deliver the superior value of our offer to Vision Systems shareholders — as quickly as possible. Accordingly, we do not regard the filing of this litigation as a material adverse change in relation to the offer.
“We are aware that the Australian Competition & Consumer Commission has commenced an informal review of Ventana’s proposal to acquire Vision Systems as well as our tender offer. We are pleased to cooperate with the Commission’s informal review. Vision Systems shareholders should know that Cytyc remains confident that our tender offer has no risk of antitrust issues because, unlike Ventana, Cytyc is not a competitor of Vision Systems.”
On September 15, 2006 Cytyc lodged its Bidder’s Statement for its all cash tender offer to acquire Vision Systems for A$2.35 per outstanding share, or a total consideration of A$497 million (US$374 million). Cytyc has also requested approval from the Vision Systems Board of Directors for early dispatch of the Bidder’s Statement to Vision Systems shareholders to allow them to take advantage of the offer as soon as possible. Cytyc is seeking a favorable recommendation from the Vision Systems Board because Cytyc’s offer is all cash, is at a higher price than the Ventana proposal, has fewer conditions than the Ventana proposal and therefore has greater certainty of payment.
