1. The range of sales prices for 2/26/2018 was $28.99 - $29.0402. The reporting person undertakes to provide, upon the request of the SEC staff, the Issuer or any security holder of the Issuer, full information regarding the number of shares sold at each separate price.

2. This amount includes 246,040 restricted stock units that are not yet vested that have been granted under the Silgan Holdings Inc. Amended and Restated 2004 Stock Incentive Plan. Upon vesting, these restricted stock units will be settled in shares of Common Stock on a 1-for-1 basis.
